These terms of service (“Terms”) were last updated September 15, 2025. By accessing and using the Staging API and this website, you agree to be bound by these Terms of Use. If you do not agree to these Terms of Use, your sole remedy is to stop using the Staging API and this website.

About this Site

The Site is owned and operated by C3P and is made available to You.

In accordance with Your license at section 5, the Site provides You with:

Definitions

In these Terms of Use and the preamble, the following capitalized terms shall have the following meaning:

“C3P” means the Canadian Centre for Child Protection Inc.

“Arachnid API” means the Arachnid application programming interface which C3P developed and makes available to third parties via an agreement.

“Site” means this website located at https://staging.arachnid.c3p.ca/ and includes all content available through this website.

“Staging API” means the test version of the Arachnid API which C3P developed and makes available via the Site.

“Staging API Key” means the key that C3P issued to You to access and use the Site and Staging API.

“Terms of Use” means the present terms of use.

“You” or “Your” means the user who C3P has authorized to access and use the Site and Staging API, who agreed to these Terms of Use and who logged into the Site using a Staging API Key. The term “You” also includes the entity on whose behalf the user agreed to these Terms of Use.

  1. KEY INFORMATION TO UNDERSTAND ABOUT THESE TERMS
    1. These terms of use apply in their entirety to anyone accessing the Site and Staging API.
    2. By accessing the Site and Staging API, You agree to be bound by these Terms of Use, the C3P Privacy Policy and the Project Arachnid Privacy Policy.
    3. If you do not agree to these Terms of Use, the C3P Privacy Policy or the Project Arachnid Privacy Policy you are not permitted to use the Site and Staging API.
    4. If you are dissatisfied with the Site or Staging API, for any reason, your sole remedy is to discontinue your use of it.
    5. If you are using the Site and Staging API on behalf of an entity, you warrant and represent that you have authority to bind that entity to these terms of use. IF YOU DO NOT HAVE SUCH AUTHORITY, YOU ARE NOT AUTHORIZED TO USE THE SITE OR STAGING API ON BEHALF OF SUCH ENTITY.
    6. C3P, in its sole discretion, reserves the right to change these Terms of Use at any time and from time to time without notice to you. By using the Site and Staging API, you agree to be bound by the then-current version of these Terms of Use posted on the Site. if you do not, or are not at that time able to, agree to the new Terms of Use, your sole remedy is to cease use of the Site and Staging API.
    7. C3P, in its sole discretion, may change, suspend or discontinue any aspect of the Site and Staging API at any time, including the availability, functionality or appearance of any feature or content. C3P may also impose limits on your ability to access certain features and content or restrict your access to part or all of the Site and Staging API without notice or liability to you.
  2. Your Use of the Site and Staging API

    By accessing the Site and Staging API, You acknowledge and agree that:

    1. All data on this Site and which may be received through the Staging API is test data. You do not have access to real data through this Site and Staging API.
    2. You cannot use data or information accessed through this Site and Staging API to scan or remove child sexual abuse material or URLs that may contain such material.
    3. C3P can suspend or terminate Your access to the Site and Staging API at any time and for any reason, at its sole and absolute discretion.
  3. Ownership of the Site, Staging API and C3P Trademarks and Logos

    Except for the limited license expressly provided to You under Section 5 (Your License), C3P retains all right, title, and interest in and to the Site and Staging API, including all intellectual property rights worldwide. No ownership right, title or interest is conferred or conveyed to You with respect to the Site and Staging API by virtue of these Terms of Use. You acknowledge and agree that all right, title and interest in any C3P owned tradenames, trademarks and logos shall be and remain the exclusive property of C3P, and You do not obtain any right, title, interest in or right to use any of C3P’s tradenames, trademarks or logos.

  4. Ownership of Your Tradenames, Trademarks and Logos

    C3P acknowledges and agrees that all right, title and interest, including all intellectual property rights worldwide, in Your tradenames, trademarks or logos shall at all times remain Your exclusive property. C3P does not obtain any right, title, or interest in and to Your intellectual property, tradenames, trademarks or logos by these Terms of Use.

  5. Your License

    Subject to Subsection 1(e), C3P hereby grants You a non-exclusive, revocable, non-assignable, non-transferable, and non-sublicensable limited license to access and use the Site and Staging API in accordance with these Terms of Use. You may access and use the Site and Staging API, provided all such use is in compliance with these Terms of Use, and only for the purposes of:

    • obtaining technical information to assist You in creating software code that will integrate a system You own with the Arachnid API; and
    • testing the compatibility of a system You own with the Staging API.
  6. Prohibited Use of the Site and Staging API

    You shall not, nor shall You permit Your employees, affiliates, subsidiaries, directors, officers or any third party to:

    1. send personal information (including images depicting identifiable individuals) to C3P while testing the Staging API;
    2. modify, alter, tamper with, repair, reverse engineer, disassemble, or decompile the Staging API or any part of them, in any way, or to otherwise attempt to discover the source code or proprietary elements of the Staging API;
    3. violate or abuse, or adversely affect or impact, the security, integrity or functioning of the Site or Staging API and any C3P system, network, software, application, or computer; or
    4. use the Site or Staging API in violation of any Applicable Laws.
  7. C3P’s License to Use, Share and Store Your Data

    When You upload data through the Site and Staging API, You represent and warrant that You have the unrestricted right to provide the data to C3P and You grant C3P a worldwide, royalty free, irrevocable, sublicensable and transferable license to use, share and store the data in accordance with these Terms of Use for the purpose of enabling You to use the Site and Staging API. Your data will be deleted in accordance with C3P’s retention practices.

  8. Staging API Implementation

    You are not bound to follow, implement or use any codes or implementation examples provided by C3P through the Site. It is Your responsibility to determine the coding and implementation that is appropriate for Your system and to ensure that whichever solution You use is not only compatible with Your system, but also does not negatively affect the functioning of the Site or Staging API. Your access and use of the Site and Staging API does not grant You a right to access and use the Arachnid API.

  9. Restrictions and Security Measures

    You agree that:

    1. Your Staging API Key to access the Site and Staging API is issued by C3P to You. You shall protect and maintain the confidentiality of the Staging API Key. You shall be responsible for the use (or misuse) of the Staging API Key and for all actions that take place through the use of the Staging API Key, including any actions that occur in error or without Your authorization. You shall immediately notify C3P if the Staging API Key is stolen, leaked, compromised, or otherwise used or disclosed without proper authorization.
    2. You shall only access the Site and Staging API from a secure network. You shall ensure that appropriate physical, organizational, and technological security measures are established and used to ensure the Site, Staging API and the software, systems and networks connected to the Staging API are protected from technology failures, cyberattacks, unauthorized access or disclosure, or other breach of security.
    3. You shall immediately notify C3P if you are aware of any circumstances or have any reason to suspect the Site, Staging API and/or the software, systems and networks connected to the Staging API are subject to any cyberattack, unauthorized access or disclosure or other breach of security.
  10. Personal Information Protection
    1. Any personal information you provide C3P in requesting use of the Site and Arachnid API will be processed in accordance with the C3P Privacy Policy available at https://protectchildren.ca/en/privacy-policy/ and the Project Arachnid Privacy Policy available at https://www.projectarachnid.ca/en/privacy-statement/.
    2. Each party acknowledges and agrees that should You inadvertently disclose personal information to C3P contrary to subsection 5(a), such personal information will be processed in accordance with the C3P Privacy Policy available at https://protectchildren.ca/en/privacy-policy/ and the Project Arachnid Privacy Policy available at https://www.projectarachnid.ca/en/privacy-statement/.
  11. DISCLAIMERS

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

    1. YOU ASSUME ALL RISK AND LIABILITY TO YOU AND TO ANY THIRD PARTY CLAIMING THROUGH YOU RESULTING FROM YOUR ACCESS TO AND USE OF THE SITE, STAGING API AND INFORMATION CONTAINED THEREIN.
    2. YOU ACKNOWLEDGE AND AGREE THAT THE SITE, STAGING API AND INFORMATION CONTAINED THEREIN ARE PROVIDED TO YOU "AS IS" AND “AS AVAILABLE” WITHOUT ANY REPRESENTATION OR WARRANTY, WHETHER EXPRESS, IMPLIED OR STATUTORY, AND WITHOUT LIMITING THE FOREGOING, C3P SPECIFICALLY DISCLAIMS ANY AND ALL EXPRESS OR IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD PARTY RIGHTS.
    3. YOU ARE SOLELY RESPONSIBLE FOR YOUR ACCESS TO AND USE OF THE SITE, STAGING API AND INFORMATION CONTAINED THEREIN, FOR ANY DATA THAT YOU SUBMIT TO THE STAGING API, AND ANY ACTIONS THAT YOU PERFORM OR FAIL TO PERFORM WHEN ACCESSING AND USING THE SITE, STAGING API AND INFORMATION CONTAINED THEREIN.
    4. C3P DOES NOT WARRANT OR GUARANTEE THAT ANY OF THE SITE, STAGING API AND INFORMATION CONTAINED THEREIN: (I) ARE ACCURATE, RELIABLE OR CORRECT; (II) WILL MEET YOUR REQUIREMENTS; (III) WILL BE AVAILABLE AT ANY PARTICULAR TIME OR FROM ANY LOCATION, (IV) WILL BE UNINTERRUPTED, ERROR-FREE, WITHOUT DEFECT, OR SECURE OR THAT ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (V) WILL BE FREE OF VIRUSES, MALWARE OR OTHER HARMFUL COMPONENTS.
  12. LIMITATION OF LIABILITY

    NOTWITHSTANDING ANY OTHER PROVISION OF THESE TERMS OF USE:

    1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, C3P, ITS AFFILIATES, SUBSIDIARIES, SUCCESSORS, AND ASSIGNS, AND ITS AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS, AND SUBCONTRACTORS TOTAL AGGREGATE LIABILITY TO YOU, AND TO ANY THIRD PARTY CLAIMING THROUGH YOU, FOR ANY CLAIM WHATSOEVER CONNECTED IN ANY WAY TO YOUR USE OF THE SITE, STAGING API AND INFORMATION CONTAINED THEREIN, SHALL NOT EXCEED THE TOTAL CUMULATIVE SUM OF $100 CANADIAN DOLLARS.
    2. THE LIMITATION OF LIABILITY SET FORTH IN SUBSECTION 12(A) SHALL:
      1. INCLUDE ANY AND ALL CLAIMS OF EVERY KIND WHATSOEVER; AND
      2. APPLY WHETHER THE CLAIM IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTORY OR STRICT LIABILITY, WARRANTY, EQUITY OR ANY OTHER LEGAL THEORY.
  13. EXCLUSION OF LIABILITY

    NOTWITHSTANDING ANY OTHER PROVISION OF THESE TERMS OF USE:

    1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL C3P, ITS AFFILIATES, SUBSIDIARIES, SUCCESSORS AND ASSIGNS, AND ITS AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS AND SUBCONTRACTORS AT ANY TIME BE LIABLE TO YOU, OR ANY THIRD PARTY CLAIMING THROUGH YOU, FOR ANY SPECIAL, INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES INCURRED OR SUFFERED BY YOU OR ANY THIRD PARTY FOR ANY REASON WHATSOEVER CONNECTED TO YOUR USE OF THE SITE, STAGING API AND INFORMATION CONTAINED THEREIN, EVEN IF C3P AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUBCONTRACTORS AND VOLUNTEERS OR ANY OTHER THIRD PARTY HAD BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
    2. THE EXCLUSION OF LIABILITY SET FORTH IN SUBSECTION 13(A):
      1. SHALL INCLUDE ANY AND ALL CLAIMS, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE; LOSS OF PROFIT; LOSS OF DATA OR LOSS OF USE OF DATA OR SYSTEMS; LOSS OF USE OF ANY EQUIPMENT; COST OF ANY REPLACEMENT EQUIPMENT; COST OF CAPITAL; COST OF PROCURING SUBSTITUTE SERVICES; CLAIMS BY YOU, YOUR CUSTOMERS, CLIENTS, END USERS OR STAKEHOLDERS; INFRINGEMENT OF THIRD PARTY RIGHTS; LOSS OF BUSINESS REPUTATION OR OPPORTUNITY; AND ANY OTHER COMMERCIAL OR ECONOMIC LOSS; AND
      2. SHALL APPLY WHETHER THE CLAIM IS BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTORY OR STRICT LIABILITY, WARRANTY, EQUITY OR ANY OTHER LEGAL THEORY.
  14. INDEMNITY

    YOU AGREE TO DEFEND, INDEMNIFY AND SAVE HARMLESS C3P, ITS AFFILIATES, SUBSIDIARIES, SUCCESSORS AND ASSIGNS, AND ITS AND THEIR DIRECTORS, OFFICERS, EMPLOYEES, VOLUNTEERS, AGENTS AND SUBCONTRACTORS (COLLECTIVELY “INDEMNITEES”) FROM AND AGAINST ANY AND ALL LOSSES, COSTS, DAMAGES AND EXPENSES, INCLUDING ATTORNEYS’ FEES AND COURT COSTS, SUFFERED OR INCURRED BY ONE OR MORE OF THE INDEMNITEES OR PAYABLE TO ANY THIRD PARTY (INCLUDING YOUR CUSTOMERS, CLIENTS OR END USERS) ARISING FROM YOUR BREACH OF THESE TERMS OF USE, YOUR NEGLIGENT ACT(S) OR OMISSION(S), YOUR WILLFUL MISCONDUCT OR YOUR ACCESS TO OR USE OR NON-USE OF THE SITE, STAGING API AND INFORMATION CONTAINED THEREIN.

  15. Suspension and Termination
    1. C3P, in its sole discretion, may at any time for any reason and without any liability to You whatsoever, suspend Your access to and use of the Site and Staging API. Suspension may also occur if there is a suspected breach of any of these Terms of Use by You; if there is or has been suspicious activity related to Your access and use of the Site and Staging API; if there have been access authentication failures or access or attempted access from an unauthorized IP address or subnet, or any other reason. C3P may continue suspension of access until the events or causes giving rise to such suspension have been cured, or it deems it appropriate, after which access may be reinstated, subject always to C3P's right to terminate these Terms of Use.
    2. C3P may terminate these Terms of Use and Your access to and use of the Site and Staging API, in C3P’s sole discretion at any time, for any reason and without any liability to You.
    3. You may terminate these Terms of Use by ceasing Your access to the Site and Staging API.
    4. Upon termination, You must cease all use of the Site and Staging API.
  16. Miscellaneous
    1. Notices. If C3P is required to send any notice to You in relation to these Terms of Use, it shall do so at the email address C3P provided You with the Staging API Key. If such email address is no longer valid at the time C3P attempts to send You such notice, You waive Your right to receive such notice and C3P may proceed as if such notice had been received by You. You may send any notice required or permitted under these Terms of Use to C3P at the following address contact@projectarachnid.com, which shall be deemed received when C3P provides You with written confirmation of receipt of such notice. Either party may revise its address for notices by providing written notification to the other party at its current email address for notice.
    2. Relationship of the parties. The relationship between You and C3P under these Terms of Use is and shall at all times remain one of independent entities. These Terms of Use shall not create, nor shall they be deemed to create, the relationship of employer and employee, principal and agent, partnership, or joint venture between You and C3P. You do not have any authority to make any representation about C3P, Project Arachnid, Arachnid by Project Arachnid, the Site or Staging API. You do not have any authority to bind C3P in any way or to anyone or in any manner.
    3. Severability. If any provision of these Terms of Use is for any reason found to be unenforceable at law, it shall be deemed severed from these Terms of Use and the remaining provisions of these Terms of Use shall remain in force and continue to be binding upon the parties as though the unenforceable provision had never been included in these Terms of Use. The foregoing shall not apply if the provision determined to be unenforceable is any one or all of Sections 11 (Disclaimers), 12 (Limitation of Liability), 13 (Exclusion of Liability), 14 (Indemnity), and 16 (Miscellaneous) which are essential provisions to these Terms of Use and without which C3P would not have entered into these Terms of Use. If any or all of these sections listed above are found to be unenforceable at law, these Terms of Use shall immediately terminate as between the parties.
    4. Waiver. No waiver of any provision of these Terms of Use, or of a breach hereof, is valid unless it is in writing, signed by the waiving party. A waiver of any right under these Terms of Use on the part of either party shall not be deemed to be a waiver of any other right, and a waiver of any right in any one instance shall not be deemed to be a waiver of that right in any other instance.
    5. Assignment. You shall not assign these Terms of Use or any of Your rights under these Terms of Use without the prior written consent of C3P which consent may be withheld by C3P in its sole discretion. C3P shall have the right to assign these Terms of Use to any third party at any time by provision of written notice to You.
    6. Binding Effect. These Terms of Use are binding upon and take effect for the benefit of the parties and their respective successors and permitted assigns.
    7. Governing Law. These Terms of Use shall be subject to, interpreted, performed, and enforced in accordance with the laws of Manitoba without regard to Manitoba or Canadian law governing conflicts of law, even if one or more of the parties may be resident of or domiciled in any other province or country. You irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Province of Manitoba and all courts competent to hear appeals therefrom. For the avoidance of doubt, it is agreed that nothing in this Section shall prevent C3P from seeking equitable relief before any appropriate court, including but not limited to with respect to breach of the intellectual property, confidentiality, privacy, or publicity provisions of these Terms of Use. The commencement of any dispute resolution proceedings shall in no way affect the continual performance of the parties’ respective obligations under these Terms of Use or the rights of any party under these Terms of Use (including the right of termination of these Terms of Use by a party).
    8. Dispute Resolution. In the event of a dispute of any kind pursuant to these Terms of Use, You and C3P may attempt to resolve the matter in good faith upon becoming aware of it. If the parties are unable to resolve the matter after a reasonable period of time (not to exceed one 1 month), either party may terminate these Terms of Use. This section is not intended to obligate the parties to achieve a resolution of the matter, but only to provide a framework for the parties to act in good faith to attempt to resolve any such dispute. Notwithstanding the foregoing, nothing in this section prevents C3P from suspending access to the Site and Staging API or terminating these Terms of Use as set out in Section 15 (Suspension and Termination).
    9. Survival. Any provision contained within these Terms of Use which by its very nature is intended to survive termination of these Terms of Use or be used in the interpretation of these Terms of Use shall survive such termination including Sections 3 (Ownership of the Site, Staging API and C3P Trademarks and Logos), 7 (C3P’s License to Use, Share and Store Your Data), 9 (Restrictions and Security Measures), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Exclusion of Liability), 14 (Indemnity), 15 (Suspension and Termination) and 16 (Miscellaneous).
    10. Entire Agreement. These Terms of Use are the entire agreement between the parties with respect to the subject matter of these Terms of Use. There are no other undertakings, representations, warranties or promises between the parties, express or implied. All other terms, expressed or implied by statute or otherwise, are excluded to the fullest extent permitted by law.
    11. Force Majeure. A force majeure event means, only with respect to C3P, any event or circumstance, of any kind whatsoever that is beyond C3P’s reasonable control, and that prevents C3P from complying, in whole or in part, with any of its obligations under these Terms of Use (“Force Majeure Event”). Without limited the generality of the foregoing, a Force Majeure Event may include: labour disruptions; civil disturbances; acts of civil, military, governmental or regulatory authorities; disruptions of a network, host or cloud provider; accidents; fires; power outages; storms; lightning damage; floods, inclement weather; natural disasters; acts of God; war; terrorism, including cyber-terrorism; cyberattacks; pandemics; epidemics or other catastrophe or event. If a Force Majeure Event occurs; C3P shall be excused from performing its obligations under these Terms of Use while the Force Majeure Event lasts and for a reasonable time thereafter.
    12. Technical Support. Questions about access to or use of the Site and Staging API may be submitted to C3P by email to contact@projectarachnid.com. Actual response times may vary depending on the availability of C3P’s technical resources and the complexity of the issue.
    13. Interpretation. In these Terms of Use, unless otherwise specified or the context otherwise requires:
      • Words importing the singular only shall include the plural and vice versa.
      • Any words following the terms "including", "include", "in particular" or "for example" or any similar expression shall be construed as illustrative and shall not limit the sense of the words, description, definition, phrase or term preceding those terms.
      • The headings inserted in these Terms of Use are for convenience of reference only and, in no way, define, limit or enlarge the scope or meaning of any of the terms and conditions contained in these Terms of Use.
      • Terms shall be as defined in these Terms of Use, and if not expressly defined, shall have their plain and ordinary meaning.
    14. No Obligation for Future Agreements/No Exclusivity. Other than the specific licenses granted herein, nothing contained in these Terms of Use shall be deemed to grant either party, directly or by implication, estoppel or otherwise, any license or any other rights to any of the other party’s products or services. Nothing in these Terms of Use will be exclusive or prohibit either party from having similar arrangements with third parties provided that neither party uses the intellectual property or confidential information of the other for the purpose of such arrangement(s).
    15. Language of Agreement. Unless You are located in Quebec (Canada) You acknowledge that these Terms of Use are made available in French and English and that You, by agreeing to these Terms of Use, have expressly requested to be bound by the English version of this document. If you are located in Quebec (Canada) You acknowledge that these Terms of Use are made available in French and English, that You have been provided with and have read the French version, and that You, by agreeing to these Terms of Use, expressly request to be bound by the English version of these Terms of Use and related documents.   17. Acceptance

    These Terms of Use are legally binding once accepted by You.
